Wiedza: After completion of the course the student has knowledge of: 1. international private law aspects of business-to-business and business-to-consumer contracts within the context of international e-commerce. 2. Aspects of international procedural law in business-to-business and business-to-consumer contracts within the context of international e-commerce. 3. Consumer rights and how they are protected in international e-commerce transactions. Umiejętności: Upon completion of the course, the student will understand the complexity of the legal system governing private international trade. In particular, the student will be able to: 1. determine the applicable law for international agreements concluded online. 2. determine which court or other authority is competent to settle an international private dispute. 3. conduct a basic audit to determine whether a company operating across borders in a digital environment is legally compliant. Kompetencje społeczne: At the end of the course, the student will be characterised by an awareness of the legal requirements that an entrepreneur has to meet in order to start an international business, in particular to sell via the Internet. At the end of the course, the student will be characterised by an awareness of which institutions can help resolve legal disputes that may arise in international business conducted via the Internet. |

| Skrócony opis: |
The course presents the legal aspects of digital internationalisation and teaches students to audit international businesses for compliance with international legal considerations. The course covers legal framework of international private transactions between companies and between companies and consumers with special emphasis on the development of the legal framework of private e-commerce transactions in digital setting. Focus will be placed on international transactions between private parties, consumer protection in international private transactions, intellectual property aspects of digital internationalisation, tax and customs aspects of digital internationalisation, protection against unfair and anticompetitive practices as well as methods of dispute resolution in international private disputes. |

| Pełny opis: |
The aim of the subject is to present the legal requirements to be met by companies conducting cross-border trade activities, in particular via the Internet. The subject is unique in that it combines the traditional considerations of private international trade with the rapidly developing regulation of cross-border trade in the digital economy including consumers. |

Special emphasis will be on explaining major differences between legal systems, presenting legal acts regulating international transactions (collision law, jurisdictional rules), describing methods of dispute resolution in international trade and major harmonized areas of international trade law. |

Students will be taught about the legal and institutional framework of international trade including international e-commerce. Particular emphasis will be placed on the differences between the main legal systems, the law applicable to international contracts, forms of dispute resolution, including online dispute resolution, harmonised areas of international law (sale contracts, distribution contracts, limitations to contractual freedom resulting from competition law), basics of intellectual property protection as well as most common types of companies in cross-border trade. In addition, students will learn how to audit the legal aspects of running an international e-commerce website. |
