Efekty uczenia się: |
Wiedza: Students should know what mergers and acquisitions are and how they modify the activity of modern companies. Students should know the relationship between business plan and acquisition plan. Students should know key M&A strategies and tactics, including these related to antitakeover defense. Students should know key elements of the M&A process. Students should know the rationale and sources of regulations regarding mergers and acquisitions, they should also know the key regulations in this regard in the EU, USA and Poland Students should know the key elements of the deal stucturing and the relationships between them. Umiejętności: Students should be able to evaluate chances and threats resulting from mergers and acquisitions. Students should be able to conduct an analysis of chosen cases of mergers and acquisitions. Students should be able to develop M&A plan using valuation technics, due dilligence, financing planning, deal structuring, due dilligence, etc. Kompetencje społeczne: Students should be able to effectively work in a project group dealing with M&A. Students should be able to identify and divide tasks in the M&A project and appoint key persons responsible for thsese tasks. Students should be able to assess the qualifications of the team members in the field of M&A process. Students should be able to communicate about M&A projects to the public. |

This course includes classes on topics such as: types and mergers and acquisitions, themes of mergers and acquisitions, history of mergers and acquisitions, mergers and acquisitions regulation, main strategies and techniques used in mergers and acquisitions, defense against hostile takeovers, planning and implementation of the merger process. and acquisitions (including: valuation techniques and financial modeling methods, value creation as a result of mergers and acquisitions, synergy valuation, deal structuring and financing, challenges and issues related to enterprise integration), advantages and disadvantages of alternative transaction structures. |

This course will provide students with knowledge of corporate restructuring based on M&A processes, valuation techniques, financial modeling methods, value creation (destruction) as a result of M&A, takeover tactics and defenses, planning and implementing M&A projects, facing challenges associated with M&A, and pros and cons of alternative restructuring strategies. |
